1. Definitions
In these Terms, the following definitions apply:
- "Agreement" means these Terms and Conditions, together with any project scope document or statement of work agreed between the parties.
- "Service" means the AI services provided by Voxelith, including knowledge graph construction, text mining and extraction, and AI readiness training.
- "Client" / "You" means the organisation or individual engaging Voxelith for services.
- "We" / "Us" / "Voxelith" means Voxelith, operating from 22 Wing Fung Street, Wan Chai, Hong Kong.
- "Deliverables" means the specific outputs produced under a project scope, as described in the relevant statement of work.
- "Content" means any data, documents, or materials you provide to Voxelith in connection with a service engagement.
2. Acceptance of Terms
By submitting an enquiry, signing a project scope document, or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not engage our services.
Our services are provided to organisations and individuals aged 18 or over with the legal capacity to enter into binding agreements. By engaging our services, you confirm you meet these requirements.
3. Service Description and Availability
Voxelith provides the following services, each governed by a project-specific scope document:
- Knowledge Graph Construction — design and build of structured knowledge graphs from your organisation's data
- Text Mining and Extraction — custom pipelines to extract structured information from unstructured text sources
- AI Readiness Training — structured training programme delivered over three 90-minute sessions
Services are available to clients based in Hong Kong and, where agreed, across the Asia-Pacific region. Service scope, timeline, and deliverables are defined in a written project scope document agreed before work commences.
4. User Responsibilities
As a client, you agree to:
- Provide accurate and complete information when submitting enquiries or engaging our services
- Ensure you have the legal right to share any data or documents provided to Voxelith in connection with an engagement
- Participate in discovery and review activities as reasonably required for project delivery
- Not use our services for any unlawful purpose or in violation of applicable regulations
- Not attempt to misrepresent the source or ownership of data provided to us
5. Intellectual Property
Upon full payment of project fees, Voxelith assigns to you ownership of the specific Deliverables produced for your engagement, as described in the project scope document. This assignment excludes:
- General methodologies, frameworks, and approaches developed by Voxelith prior to or independently of your engagement
- Any third-party tools, libraries, or software incorporated into the Deliverables (which remain subject to their respective licences)
- Pre-existing Voxelith tooling or templates used in the course of the engagement
You retain all ownership of data, documents, and Content you provide to Voxelith. By providing Content, you grant Voxelith a limited licence to process it solely for the purpose of delivering the agreed services.
6. Payment Terms
All fees are stated in Hong Kong Dollars (HKD) and are as follows:
- Knowledge Graph Construction: HK$13,400
- Text Mining and Extraction: HK$7,800
- AI Readiness Training: HK$3,900
Standard payment structure: 50% upon project commencement, 50% upon delivery of final Deliverables. Milestone-based payment may be agreed for longer engagements. Invoices are payable within 14 days. Late payments may incur interest at 2% per month on the outstanding balance.
Bespoke engagements outside standard service offerings will be priced via written proposal.
7. Confidentiality
Both parties agree to keep confidential any information disclosed during an engagement that is marked as confidential or would reasonably be considered confidential. A mutual non-disclosure agreement (NDA) will be signed prior to any data sharing.
Confidentiality obligations survive termination of this Agreement for a period of three years, except for information that becomes publicly known through no fault of either party.
8. Service-Specific Terms
Knowledge Graph Construction and Text Mining:
- Acceptance testing is conducted against criteria agreed in the project scope document
- 30-day post-delivery support for questions is included
- Material changes to scope requested after work commencement may require a revised fee
AI Readiness Training:
- Sessions are delivered at agreed dates; rescheduling requires 5 business days notice
- Training materials are provided to participants for personal reference use
- The programme is adapted to participant background based on information you provide
9. Disclaimers
Our services are provided in good faith and with professional care. However, we do not make any representation or warranty that:
- AI-generated or AI-assisted outputs will be free from errors in all cases
- A knowledge graph or extraction pipeline will achieve specific business outcomes beyond those specified in the project scope
- Training participants will achieve specific performance levels following the programme
Nothing in these Terms limits or excludes liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be excluded under applicable law.
10. Limitation of Liability
To the maximum extent permitted by law, Voxelith's total liability for any claim arising from or related to a service engagement shall not exceed the total fees paid by you for the relevant engagement in the 12 months preceding the claim.
We shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or data, even if advised of the possibility of such damages.
11. Termination
Either party may terminate an engagement with 14 days written notice. Upon termination:
- You are responsible for fees for work completed up to the termination date
- Voxelith will deliver any completed Deliverables in their current state
- Confidentiality obligations continue as described in Section 7
Voxelith reserves the right to terminate immediately where you have breached material terms of this Agreement, provided you with fraudulent information, or engaged in conduct that would damage Voxelith's reputation or violate applicable law.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of 30 days. If unresolved, disputes shall be referred to mediation under the Hong Kong Mediation Code before any legal proceedings are commenced.
These Terms are governed by the laws of Hong Kong SAR. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.
13. General Provisions
- Entire Agreement: These Terms, together with any project scope document, constitute the entire agreement between the parties regarding the services.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of the right to do so in future.
- Assignment: You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger or acquisition.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be communicated via a notice on our website. The terms in effect at the commencement of a project engagement govern that engagement, unless both parties agree otherwise in writing.
